1. General
These Terms and Conditions apply exclusively to all business transactions conducted by Sakeena Global Trade FZCO, a Free Zone Company registered in Dubai, United Arab Emirates.
All transactions are strictly Business-to-Business (B2B). Consumer protection laws do not apply.
By placing an order, the Buyer confirms acceptance of these Terms and Conditions.
2. Scope of Services
Sakeena Global Trade FZCO operates as an international trading and coordination entity, including:
Procurement of goods from international manufacturers
Coordination of export and logistics
Supplier and transaction management
Sakeena Global Trade FZCO does not act as manufacturer unless explicitly stated.
3. Contract Formation
All offers are non-binding unless explicitly stated otherwise.
A contract becomes valid only after:
Written confirmation by Sakeena Global Trade FZCO, and
Full receipt of the agreed payment
No obligations exist prior to payment confirmation.
4. Payment Terms
100% prepayment is required unless otherwise agreed in writing
Payments must be made only to officially designated company bank accounts
Any payment made to third parties is at the Buyer’s sole risk
Sakeena Global Trade FZCO shall not be liable for any losses resulting from:
Fraudulent payment instructions
Email interception
Cybercrime or impersonation
The Buyer is responsible for verifying all payment details through official communication channels.
5. Banking and Compliance
Transactions may be subject to compliance procedures, including AML and KYC checks.
Sakeena Global Trade FZCO reserves the right to:
Request additional documentation
Delay or refuse transactions
6. Pricing and Currency
All prices are quoted in USD unless otherwise agreed
Prices exclude shipping, insurance, customs duties, and local taxes
Prices may change due to:
Market fluctuations
Supplier adjustments
Currency volatility
7. Delivery and Incoterms
All deliveries are governed by the latest version of Incoterms® as agreed between the parties (e.g. FOB, CIF).
Risk transfers according to the agreed Incoterms
Delivery timelines are estimates only
Delays do not constitute a breach of contract
8. Logistics Disclaimer
Sakeena Global Trade FZCO acts as a coordinator and not as a carrier.
Sakeena Global Trade FZCO is not liable for:
Shipping delays
Port congestion
Customs clearance issues
Damage during transportation
9. Inspection and Acceptance
The Buyer must inspect the goods immediately upon arrival.
Any claims must be submitted in writing within 5 calendar days after delivery.
Failure to notify within this period constitutes full acceptance of the goods.
10. Returns and Refunds
Goods are non-returnable unless explicitly agreed in writing.
No refunds will be issued after shipment has been executed.
11. Product Responsibility
Products comply with export standards of the country of origin.
The Buyer is solely responsible for:
Import licenses
Regulatory approvals
Compliance with local laws and regulations
12. Limitation of Liability
The liability of Sakeena Global Trade FZCO is strictly limited to the invoiced value of the goods.
Sakeena Global Trade FZCO shall not be liable for:
Loss of profit
Business interruption
Indirect or consequential damages
13. Force Majeure
Sakeena Global Trade FZCO shall not be liable for failure or delay due to events beyond its control, including but not limited to:
Government actions
War, sanctions, or embargoes
Supply chain disruptions
Natural disasters
Currency restrictions
14. Anti-Corruption and Compliance
The Buyer agrees to:
Comply with all applicable anti-corruption laws
Not engage in bribery or unlawful conduct
Respect international sanctions and trade regulations
Violation may result in immediate termination of the business relationship.
15. Fraud Prevention
The Buyer acknowledges that international trade involves risks.
The Buyer is responsible for:
Verifying bank details before making any payment
Confirming transactions through official communication channels
Sakeena Global Trade FZCO shall not be liable for:
Third-party fraud
Unauthorized intermediaries
Fake agents or representatives
16. Intermediaries
No third-party agents or intermediaries are authorized unless confirmed in writing by Sakeena Global Trade FZCO.
Any involvement of undisclosed intermediaries voids any claims against Sakeena Global Trade FZCO.
17. Confidentiality
All business information, pricing, and agreements are confidential.
Disclosure to third parties without prior written consent is prohibited.
18. Governing Law
These Terms and Conditions shall be governed by the laws of the United Arab Emirates.
19. Dispute Resolution
The parties shall first attempt to resolve any dispute amicably.
If no agreement is reached, disputes shall be subject to the jurisdiction of the courts of Dubai.
20. Final Provisions
If any provision of these Terms and Conditions is found to be invalid, the remaining provisions shall remain in full force and effect.
No oral agreements shall be valid.
Only written agreements shall be legally binding.
